These Terms of Service ("Terms") govern access to and use of the tardiq platform available at https://tardiq.com ("the Service"). By using the Service, you accept these Terms. If you do not agree, do not use the Service.

tardiq is a SaaS quality-management platform for manufacturing environments — operational procedures, measuring instruments, periodic equipment inspections. The Service may include calibration planning, measurement-data processing, report generation, dashboards, and related quality-management features.
The Service is primarily intended for business and professional use.

To access certain features, you may need to create an account. You agree to provide accurate and complete information and to keep your login credentials confidential. You are responsible for all activity performed under your account.

4. Subscriptions, billing, and payments
Some features of the Service may require a paid subscription.
Payments for the Service are processed by Paddle.com Market Ltd. ("Paddle") acting as Merchant of Record. This means Paddle handles checkout, invoicing, tax, and payment processing for purchases made through the Service.
Subscriptions may renew automatically unless cancelled before the next billing cycle. The applicable billing period, pricing, renewal terms, and plan features are shown at the time of order.
You can manage or cancel your subscription via the billing portal provided by Paddle.

Refunds, billing disputes, and fee-related claims are handled under Paddle's applicable billing and refund rules, unless mandatory law provides otherwise.

You agree not to:

- upload malware, harmful code, or harmful content
- systematically download or extract data from the Service without authorization
- reverse-engineer, decompile, or otherwise attempt to obtain the Service's source code, except where such restriction is unenforceable under mandatory law
- bypass usage limits, access controls, or security measures
- use the Service in a way that violates the operator's or third parties' rights

You are solely responsible for all information, files, instrument/calibration/procedure/inspection/machine data, and other content submitted to the Service.
You represent that you have the right to submit such data and that it does not violate applicable law, confidentiality obligations, intellectual-property rights, or third-party rights.
The operator does not independently verify the accuracy, completeness, or legal sufficiency of user-provided data.
8. No legal or audit advice
tardiq provides computational and informational tools only. The Service does not constitute legal, audit, or quality-management advisory services.
Use of the Service does not create any advisor-client, expert-client, consultant-client, fiduciary, or similar relationship.
9. Not an official system
The Service does not replace official quality-management systems required by regulation. Using the Service does not replace official filings, declarations, notifications, or other actions required by applicable law.
10. Accuracy and availability
The operator strives to keep the Service useful and reasonably accurate but does not guarantee that calculations, results, interpretations, or regulatory references will always be complete, correct, current, or fit for a specific purpose.
The Service is provided "as is" and "as available".
The operator may modify, suspend, or withdraw any part of the Service at any time, including features, plans, pricing, or integrations.
11. Intellectual property
All rights, title, and interest in the Service — including software, databases, interfaces, branding, design, content, documentation, and underlying technology — are and remain the exclusive property of the operator or its licensors.
Under these Terms you receive a limited, non-exclusive, non-transferable, revocable right to access and use the Service as intended.
You may not copy, distribute, resell, sublicense, or create derivative works based on the Service unless expressly permitted in writing.

The Service may rely on third-party infrastructure and providers, including but not limited to:
- Docker/Synology NAS — hosting and infrastructure
- PostgreSQL — database
- n8n — process automation
- Paddle — payments and billing
The operator is not liable for downtime, delays, errors, data loss, or failures caused by third-party providers.
13. Limitation of liability
To the maximum extent permitted by applicable law, the operator is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, regulatory penalties, reputational damage, or replacement-service costs arising from the use of or inability to use the Service.
To the maximum extent permitted by law, the operator's total liability for any claims related to the Service shall not exceed the amount you paid for the Service in the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under mandatory law.
14. Indemnification
You agree to defend, indemnify, and hold the operator harmless from claims, liabilities, damages, losses, and expenses arising from:
- misuse of the Service
- data you submit
- breach of these Terms
- breach of applicable law or third-party rights

Personal data is processed in accordance with the Privacy Policy. Cookies and similar technologies are described in the Cookie Policy.
16. Suspension and termination
The operator may immediately suspend or terminate your access to the Service if:
- you breach these Terms
- there is reasonable suspicion of abuse or security risk
- required by law
- the Service is withdrawn
You may stop using the Service at any time. If you have a subscription, cancellation applies to future renewals and does not automatically entitle you to a refund unless required by law or Paddle's policy.
17. Changes to the Terms
The operator may update these Terms from time to time. Material changes may be communicated via email, in-app notification, dashboard notification, or on the website.
Continued use of the Service after the updated Terms take effect constitutes acceptance of the modified Terms.
18. Governing law and disputes
These Terms are governed by the laws of the Republic of Poland and applicable European Union law, without prejudice to mandatory consumer-protection rights that cannot be waived.
Before initiating formal proceedings, the parties shall first attempt to resolve the dispute in good faith by direct contact.
